DISSOLUTION OF THE COMPANY

#1 Dissolution proposal

In order to start the process of company dissolution, a proposal to wind up the legal entity must be presented to the (General Meeting Shareholders).

The Board of Directors, Board of Commissioners, or one or more shareholders who represent at least 1/10 of the total number of shares and who have voting rights have the authority to submit this proposition.

#2 Appointment of a liquidator

The General Meeting of Shareholders should appoint a liquidator who will manage the winding-up procedures. Usually, the Director of the company will take that role, But it can be other than director also.

#3 Announcement of dissolution

Subsequent to the liquidator appointment, he or she needs to announce the winding up of a PT PMA in a newspaper and the State Gazette of the Republic of Indonesia. This must be done within 30 days from the General Meeting of Shareholders.

The purpose of the announcement is to notify any creditors to allow them to bill the company if the company has any loans. The lenders can claim the debt within 60 days after the issuance of the newspaper announcement.

#4 Dissolution approval from the MoLHR

After 60 days from the dissolution announcement, the next step is to submit the approval of winding up to the Ministry of Law and Human Rights (MoLHR).

After the validation from the MoLHR, the company is already considered to be wound up. However, in order to remove the company’s legal status and its name from the system, you must complete the following steps as well.

#5 Announcement of asset division

In order to proceed to liquidation, the liquidator has to make another newspaper announcement after the approval of the dissolution of a PT PMA. This announcement should declare the division of the company’s assets.

#6 General Meeting of Shareholders on the division of assets

When another 60 days have passed, the General Meeting of Shareholders needs to ratify the division of the assets.

#7 Approval from the MoLHR

After the GMS has approved the division of the company’s assets, the Ministry of Law and Human Rights also needs to confirm the distribution of the assets.

This step concludes the liquidation process and the company will no longer have a legal status in Indonesia.

#8 Declaration of the completion of liquidation process

The final step of dissolving a company in Indonesia is to make another public notification. This time to announce the completion of the steps of company liquidation and that your company has ceased to exist.

The complete procedure of dissolving a company in Indonesia presumes the fulfillment of all 8 steps. In practice, however, companies often proceed only until the company has been recognized as wound up by the Ministry of Law and Human Rights.

Timeline of company liquidation in Indonesia

The total process of the dissolution of a PT PMA consists of two main stages:

  • Winding up
  • Liquidation

Essential to notice: closure of the tax card

When your company gets the first approval from the MoLHR, you also need to proceed to the closure of the tax card at the local tax authority.

The tax card is closed only by verification and tax audit. It will be carried out on the company’s tax liabilities, revision, and other matters as deemed necessary.

The audit process itself can even go up to one year. However, it can also take only 6 months, depending on how well you have complied with your accounting and tax reporting.

Importance of a liquidator in Indonesia

  • Note that the above fee does not include the compulsory US$.1.200 “Skills & Development Fund” levy payable to the Department of Manpower, should this be necessary. Family members of the holder of the working permit do not have to pay this levy.

Working Visa (KITAS)

Who is it for and what are the benefits?

The Working Visa / Working KITAS is intended for foreigners that are employed to work in Indonesia for more than a few months. It is the most comprehensive working permit you can get and allows the user to actively earn income, open bank accounts, pay taxes, get a mobile phone etc.

To obtain a working permit you need to work for a company that is registered within Indonesia. This entity can be either a Foreign Owned Company (PMA), a Representative Office or an Indonesian Owned Company.

The length of your working visa can vary between 6 & 12 months depending on your job title; the validity being approved by Indonesia’s Ministry of Manpower. In general, Directors, Commissioners & Senior Managers can obtain a 12-month extendable permit, whereas advisors can only get a 6-month, non-extendable visa.

What job do I need to obtain a 12-month Working KITAS?

A 12-month KITAS is only guaranteed for Directors and Commissioners. For roles in Management this is also possible however, it is at the discrepancy of Immigration. PT. AFIAT LESTARI MANDIRI can give you guidance on this matter.

For non-management roles, (barring a few exceptions) you many only obtain a 6-month, non-extendable KITAS.

Can I start the Visa process before I enter Indonesia?

Yes, you can. You can apply for you working permit before you enter the country and pick up your work visa from the Indonesian Embassy in your home country. For your permit to be official you will need to visit the Immigration Office in Jakarta for your biometric session.

What job do I need to obtain a 12-month Working KITAS?

A 12-month KITAS is only guaranteed for Directors and Commissioners. For roles in Management this is also possible however, it is at the discrepancy of Immigration. PT. AFIAT LESTARI MANDIRI can give you guidance on this matter.

For non-management roles, (barring a few exceptions) you many only obtain a 6-month, non-extendable KITAS.

During the process, do I need to visit an Indonesian Embassy to collect my work permit? How long does this take? How much is it and do I need to go to Singapore to obtain it?

During the visa process you will need to go to an Indonesian Embassy outside of Indonesia to pick up your work visa. You can do this in your home country or a different one depending on which is more convenient.

Most people go to Singapore to obtain their permit as it is close to Indonesia, the flights are regular, and it is an easy city to navigate.

When visiting the Indonesian Embassy in any country, you can visit the Embassy yourself and process the work permit or hire an agent to do this on your behalf. If you hire an agent, they can do the process usually within one day, however if you do this yourself, it may take significantly longer.

Procedures, agents’ fees and time allowances will vary depending on which country you visit. Since 2019 the regulations have changed and now, rather than paying a processing fee for your Working Visa at the Embassy, there is a fee called PNBP of $150 USD, which is paid in Indonesia before collecting your visa. The benefit of this is that you no longer need to pay a fee when you go to the Indonesian Embassy. If you would like to use an agent to speed up the process, prices will vary depending on local agent.

What is the DPKK Fund and how much is it?

The DPKK Fund is a payment made to the Ministry of Manpower in Indonesia – The fee is to support training of the domestic workforce and is not negotiable. The price is $100 USD per month. The total amount is dependent on the length of your KITAS – 12 months for example is $1200 USD.

I already have a Working KITAS, can I change jobs and keep my KITAS?

Unfortunately, you cannot continue your current KITAS. You will need to obtain an EPO (Exit Permit Only) which will terminate your current working visa and you will then need to start your new visa with your new company.

Can I do more than one job on my Working KITAS?

You may only work in the location or job specification stated on your KITAS.

If I do not wish to extend my Working KITAS, what should I do?

To terminate your KITAS you must apply for an EPO (Exit Permit Only), whereby your work permit will be terminated. The EPO is very quick and generally takes a few days. Once your EPO stamp is issued, you will need to leave the country within 7 days.

If you have already left Indonesia, you will need to apply for a ERP (Exit Re-entry Permit).

What happens if I overstay my Visa?

If you overstay your visa you may be subjected to daily fines, blacklisting from the country and even deportation. We cannot stress enough the importance of keeping your visa up to date.

In 2019 the penalty for overstaying 1.000.000 IDR per day.

Company Sponsor Documents

  1. Company’s deed of establishment and its amendments (if any)
  2. Approval from the Ministry of Law and Human Rights (MoLHR) of company sponsor / SK Kehakiman Pendirian Perusahaan dan Perubahannya (if any)
  3. Tax Registration Number (NPWP) of company sponsor
  4. NIB (Business Registration Number)
  5. Company License (Izin Usaha)
  6. ID Card (KTP) and Family Register (KK) of the Indonesian Director of company sponsor as Guarantor, or passport of foreign Director.
  7. Blank papers with the company’s letterhead; (for application letters)
  8. Mandatory Manpower Report (Wajib Lapor Keberadaan/WLK) of company sponsor
  9. Employment contract between company sponsor and the expatriate
  10. ID card/ KTP of the Indonesian counterpart
  11. Appointment letter between company and the Indonesian counterpart
  12. Company’s bank account information or statement – balance minimum USD 1,500

KITAS For family (wife and children)

This visa can be obtained by foreigners married to Indonesian citizen and their children or by spouses and children of work KITAS index 312 visa holders (validity and prolongations following the work KITAS holder).

This visa is issued on the following conditions:

  1. For a period of 5 years (with mandatory annual renewal) for those who officially married to an Indonesian citizen. In this case applicants can apply for KITAP after 3 years of holding KITAS visa.
  2. For the same period as a KITAS visa of spouse whom officially works in Indonesia.

NOTE: Family KITAS visa is issued only to close relatives (spouses and children).

FAMILY KITAS FOR FOREIGNERS MARRIED TO INDONESIAN CITIZENS

There are 2 options to get the Family visa to Indonesia, both ways will provide you visa valid for one year and possible to extend yearly for five years.

CONVERSION OF SOCIAL VISA TYPE 211 INTO FAMILY KITAS

This conversion can be done if the Indonesian spouse were acting as a sponsor and were mentioned in social budaya visa type 211. Application should be done not later than 3 month before social visa expiration date and the applicant should not leave Indonesia to get this residental status, KITAS card and re-entry permit.

APPLYING FOR FAMILY KITAS IN AN EMBASSY OR CONSULATE OF INDONESIA IN ANOTER COUNTRY

You need to get a TELEX to get a Family Visa abroad. Telex should be prepared in advance for a certain Indonesian Consulate / Embassy where applicant is planning to apply and should be approved by the Head Office of Immigration Service of Indonesia in Jakarta. The process of getting TELEX will take around 10 working days.

After the applicant has got the TELEX and family visa type 317/318 in Indonesian Embassy or Consuate, he/she should submit the passport in Immigration office in next 7 days after arriving to Indonesia.

From the applicant to get the Telex:

  • Copy of the first page of the passport
  • Digital photo of passport size on a red background
  • Copy of the marriage certificate or other document issued by Embassy, confirming marriage conclusion with Indonesian citizen

EPO (Exit Permit Only)

For Foreign workers working in Indonesia and they will return to the country of origin, it must be applied for EPO first.

Traveling Permit

A traveling permit function is, for foreigners who will make a field trip out of town, but the location of the project to be visited is not included in the work permit

Immigration Report and Certificate of Birth

Immigration Report is required for foreigners give birth in Indonesia, as a basis for taking care of the baby's residence documents in Indonesia, it is necessary to process of the Immigration Report and Birth Certificate

Multiple Entry Business Visa (MEBV)

If you are frequently needing to come into and out of Indonesia on business then a Multiple Entry Business Visa (MEBV) is much more convenient than the standard single entry business visa. The MEBV is valid for 12 months and you may enter and leave Indonesia at will.

On entry to Indonesia you are given a stay permit for 2 months. At the end of the maximum 2 month stay, you must exit the country. You can re-enter again whenever you wish. No additional payments are required at immigration.

Note than an additional fee is charged directly by Indonesian Embassy at the place where the visa will be picked up. This charge varies from place to place.

A MEBV does not entitle you to work in Indonesia
